  1. General provisions<\/strong>\n
      \n
    1. These Terms and Conditions (hereinafter: \u201cTerms and Conditions<\/strong>\u201d) set out the basic rules for the use of the Brain Embassy\u2019s website located at http:\/\/brainembassy.pl and its subdomains, in particular the \u201cBrainers Portal\u201d available at: https:\/\/members.brainembassy.pl\/<\/a> or in the application indicated in Section 2.1, as well as the landing page in the domain brainembassy.pl and the services offered through them (hereinafter collectively: \u201cSite<\/strong>\u201d or \u201cWebsite<\/strong>\u201d).<\/li>\n\n\n\n
    2. Electronic services are offered and provided by the brand operator Brain Embassy \u2013 Real Estate Solutions sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105 sp\u00f3\u0142ka komandytowa with its registered office in Warsaw, Al. Jerozolimskie 181b, 02-222 Warsaw, registered in the Register of Business Entities of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XII Division of the National Court Register, KRS: 0000276566, NIP: 017269312, REGON: 5213146925 (hereinafter: \u201cBrain Embassy<\/strong>\u201d or \u201cBE<\/strong>\u201d).<\/li>\n\n\n\n
    3. Brain Embassy, through the Website, provides electronic services (hereinafter: \u201cServices<\/strong>\u201d) within the meaning of the Act on Provision of Electronic Services of July 18, 2002 (hereinafter: \u201cAES<\/strong>\u201d).<\/li>\n\n\n\n
    4. Issues not directly related to the use of the Website, such as the rules for the use of office space, the terms and conditions of membership agreements or the privacy policy, are governed by separate documents provided by BE.<\/li>\n\n\n\n
    5. Use of the Services constitutes acceptance of these Terms and Conditions.<\/li>\n\n\n\n
    6. Brain Embassy makes every effort to ensure that the use of the Websites is possible for Users using all popular Internet browsers, operating systems, device types and Internet connection types. The minimum technical requirements:\n
        \n
      1. For the web version<\/strong>: Web browser with at least Google Chrome 110, Mozilla Firefox 110, Microsoft Edge 110, Safari 15 or later, with JavaScript enabled, supporting cookies. Internet connection of at least 2 Mbps (10 Mbps recommended for optimal performance). The web version is optimized for a\u00a0minimum screen resolution of 360×640 pixels (smartphones in portrait orientation), 1366×768 pixels (laptops\/desktop) and larger.<\/li>\n\n\n\n
      2. For Applications:<\/strong> Web browser of at least Google Chrome 110, Mozilla Firefox 110, Microsoft Edge 110, Safari 15 or later, with JavaScript enabled, supporting cookies. Internet connection of at least 2 Mbps (10 Mbps recommended for optimal performance). The web version is optimized for a minimum screen resolution of 360×640 pixels (smartphones in portrait orientation), 1366×768 pixels (laptops\/desktop) and larger.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n\n\n\n
          \n
        1. Definitions<\/strong>\n
            \n
          1. Account<\/strong> – a service provided electronically by Brain Embassy through the Portal, which consists in providing Users with access to a set of resources in an ICT system that allows the use or management of such resources;<\/li>\n\n\n\n
          2. Application – <\/strong>means the \u201cBrain Embassy\u201d application for mobile devices provided by Zapfloor i (available on Google Play Store and Apple App Store), which enables use of the Brainers Portal;<\/li>\n\n\n\n
          3. Brainer – <\/strong>means the Member and their employees and associates authorized to use the Space;<\/li>\n\n\n\n
          4. Brainers Portal<\/strong> or Portal<\/strong> – means the Brainers Portal accessible through the Application and the website available at https:\/\/members.brainembassy.pl\/<\/a>;\u00a0<\/li>\n\n\n\n
          5. Co-creation Space<\/strong> or Space<\/strong> means Brain Embassy’s open and enclosed office space with separate workstations with access to office infrastructure;<\/li>\n\n\n\n
          6. Day Pass<\/strong> – means a one-day pass to a designated Brain Embassy Space;<\/li>\n\n\n\n
          7. General Terms and Conditions<\/strong> or GTC<\/strong> – means the General Terms and Conditions of Membership Agreements at Brain Embassy, as amended and supplemented, available at https:\/\/brainembassy.com\/pl\/ogolne-warunki-umow\/<\/a>;<\/li>\n\n\n\n
          8. GDPR <\/strong>– means Regulation (EU) 2016\/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95\/46\/EC (General Data Protection Regulation);<\/li>\n\n\n\n
          9. Guest<\/strong> or Visitor<\/strong> – means a person visiting the Space based on an invitation from Brain Embassy;<\/li>\n\n\n\n
          10. Member –<\/strong> means a party to the Membership Agreement;<\/li>\n\n\n\n
          11. Membership Agreement<\/strong> – an agreement for the use of BE space concluded pursuant to the GTC;<\/li>\n\n\n\n
          12. Online Booking –<\/strong> means the booking service of the Co-creation Space offered by BE;<\/li>\n\n\n\n
          13. Terms and Conditions of the Complex<\/strong> – a set of rules of order applicable to the complex in which the Space is located, available on the Website;<\/li>\n\n\n\n
          14. Third Party Provider<\/strong> means:\n
              \n
            1. Flexspace Technologies Inc. providing a website that allows Online Bookings. Flexspace’s terms and privacy policy are available at: https:\/\/flexspace.ai\/<\/a> (tab \u201cTerms\u201d and \u201cPrivacy\u201d);<\/li>\n\n\n\n
            2. \u00a0Zapfloor Next Generation providing the Application specified in Section 2.1. Zapfloor’s privacy and cookie policy is available at: https:\/\/www.zapfloor.com\/<\/a>\u00a0 (tab \u201cPrivacy & Cookie Policy\u201d);<\/li>\n\n\n\n
            3. Google (Google LLC and affiliates) providing solutions related to Google Maps and reCAPTCHA. Google’s Terms of Service and Privacy Policy are available at: https:\/\/policies.google.com\/<\/a>;<\/li>\n\n\n\n
            4. Mailchimp (The Rocket Science Group LLC d\/b\/a Mailchimp) providing technology solutions for newsletter management and mailing services.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
            5. User<\/strong> – means the person using the Service;<\/li>\n\n\n\n
            6. Visit<\/strong> – means the User’s stay in the Co-creating Space during the reserved period;<\/li>\n<\/ol>\n<\/li>\n\n\n\n
            7. General provisions. Account registration.<\/strong>\n
                \n
              1. The use of the Website does not require registration or having an Account. Registration of a User’s Account is voluntary, but necessary in order to use the Services offered on the Portal.\u00a0<\/li>\n\n\n\n
              2. Registration of an Account is performed by providing personal data in the registration form. A link to the form is sent by BE to the e-mail address indicated by the Brainer or Member.\u00a0<\/li>\n\n\n\n
              3. In order to complete the registration of an Account, the User must complete the registration form and accept the necessary statements.<\/li>\n\n\n\n
              4. Any new Account, whether inactive, active or after the User has used the Service, may be subject to verification by Brain Embassy.\u00a0<\/li>\n\n\n\n
              5. Verification applies to the data provided in the registration form, i.e. the data of an existing and not fictional person. Verification of the data of an active Account may be carried out by BE also in case of reasonable doubts about the veracity of the data provided or changed by the User.<\/li>\n\n\n\n
              6. Failure of successful verification may be the basis for blocking the Account or its deletion.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
              7. User’s obligations<\/strong>\n
                  \n
                1. The User is obliged to comply with the terms of the Terms and Conditions.<\/li>\n\n\n\n
                2. When filling in electronic forms, which enable the use of the Services, the User is obliged to provide true and complete data concerning him\/her.\u00a0<\/li>\n\n\n\n
                3. The User is obliged to use the Services of his\/her choice and the Site in a manner consistent with their intended use, and furthermore in a manner that does not violate generally applicable laws or the rights of third parties.\u00a0<\/li>\n\n\n\n
                4. It is prohibited to use the Services or the Site for activities contrary to the law or good morals.\u00a0<\/li>\n\n\n\n
                5. It is prohibited to post any content through the Portal entries, comments or events:\n
                    \n
                  1. inciting racial, religious, ethnic hatred;<\/li>\n\n\n\n
                  2. promoting violence;<\/li>\n\n\n\n
                  3. offensive;<\/li>\n\n\n\n
                  4. containing information incriminating unverified allegations against others;<\/li>\n\n\n\n
                  5. contributing to copyright infringement;<\/li>\n\n\n\n
                  6. promoting intoxicants, drugs, alcohol;<\/li>\n\n\n\n
                  7. containing profanity;<\/li>\n\n\n\n
                  8. containing advertising content;<\/li>\n\n\n\n
                  9. violating the rules of Netiquette;<\/li>\n\n\n\n
                  10. defaming and slandering public or private persons or other Members, Users and persons affiliated with Brain Embassy.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                  11. The User is obliged to make every effort to maintain confidentiality and not to disclose to third parties the login data to the Portal and the authorization codes received from Brain Embassy in order for the User to use the selected Services. If there are circumstances indicating a suspicion that this data has been in the possession of an unauthorized person, the User is obliged to notify BE immediately.\u00a0<\/li>\n\n\n\n
                  12. Brain Embassy is entitled to block access to the Account and the Services if the User acts to the detriment of BE or other Users, if the User violates the law or the provisions of the Terms and Conditions, and if the blocking of access to the Services is justified for security reasons – in particular: the User’s breaking the security of the Portal and other hacking activities. The blocking of access to the Account or Services for the aforementioned reasons lasts for the period of time necessary to resolve the issue forming the basis for blocking access to the Account or Services. Brain Embassy shall notify the User of its intention to block access to the Services by email or telephone, contacting the User via the data assigned to the Account.\u00a0<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                  13. Online Booking<\/strong>\n
                      \n
                    1. The User may make Online Bookings using the website provided by the Third Party Provider.<\/li>\n\n\n\n
                    2. In Online Booking, the User selects date, location of the office, as well as the number of guests, in accordance with the functionalities available on the Website.<\/li>\n\n\n\n
                    3. The Website offers Users the opportunity to view the location of Brain Embassy and determine the route to the selected Space using the Google Maps functionality. Determining the route to the selected Space requires the User to provide the starting location or provide the location of the device using GPS.<\/li>\n\n\n\n
                    4. The User may also book a tour of the selected Space (Book a Tour).\u00a0<\/li>\n\n\n\n
                    5. Detailed rules for the use of the Space and BE buildings are set out in the regulations available on the Platform or on the Website.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                    6. Brainers Portal<\/strong>\n
                        \n
                      1. The Brainers Portal is available to registered Brainers.<\/li>\n\n\n\n
                      2. The Brainers Portal offers Brainers access to a number of functionalities, including:\n
                          \n
                        1. viewing posts, events and information published by Brain Embassy or community members;<\/li>\n\n\n\n
                        2. booking appointments with the ability to view booking details, such as title, user or Member information – in accordance with privacy settings;<\/li>\n\n\n\n
                        3. comment on posts in the \u201cCommunity\u201d tab (public or dedicated to specific user groups);<\/li>\n\n\n\n
                        4. display profiles of companies and their members, depending on your authorization and Brainerd package;<\/li>\n\n\n\n
                        5. confirmation of participation in events (RSVP) with visibility of the list of participants.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                        6. The User has the ability to personalize the settings of preferences regarding email notifications received from Brain Embassy and privacy settings, in particular how to display User data to other Users or hide their data completely.<\/li>\n\n\n\n
                        7. The Platform has a \u201cHelp Center\u201d functionality where the User can submit a ticket regarding the Portal and the Space, as well as see notifications related to possible incidents.<\/li>\n\n\n\n
                        8. Brain Embassy may contact Brainers who use the Portal on matters related to the operation of the Portal, the Website, the performance or changes to the Services. The contact will be carried out by telephone, by e-mail, through messages on the Portal and PUSH notifications (provided that the User has consented to PUSH notifications) or by using the contact information provided by Users in the Account registration process.<\/li>\n\n\n\n
                        9. Brain Embassy makes every effort to ensure the proper and uninterrupted operation of the Portal 24 hours a day, 7 days a week. Due to the complex nature of the Portal’s IT system, technical failures and errors may occur due to hardware or software problems for which BE may not be responsible. In any case, BE will try to limit the negative effects of the technical problems that occur as much as possible.<\/li>\n\n\n\n
                        10. In order to develop the Portal and minimize the risk of failures, periodic technical interruptions are necessary, during which appropriate changes are made to the IT system. Brain Embassy will ensure that technical interruptions are scheduled for nighttime hours, and BE will inform Users in advance of the date and expected duration of the interruption.<\/li>\n\n\n\n
                        11. Brain Embassy will ensure that any interruption of the Portal will not affect the implementation and management of the Services.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                        12. Data processing<\/strong>\n
                            \n
                          1. The controller of the personal data, within the meaning of the GDPR, provided in connection with the use of the Website and the Services is Brain Embassy.<\/li>\n\n\n\n
                          2. Brain Embassy processed personal data:\n
                              \n
                            1. For the purpose of creating an Account and granting access to the Portal, as well as providing services through the Portal – the legal basis is to perform the agreement and to take actions prior to its conclusion (Art. 6(1)(b) GDPR);<\/li>\n\n\n\n
                            2. To provide other services through the site – the legal basis is the performance of the contract and to take action prior to its conclusion (Art. 6(1) b. GDPR);<\/li>\n\n\n\n
                            3. For the purpose of contact in connection with the Services provided – on the basis of BE legitimate interest (Art. 6. (1) b. GDPR);<\/li>\n\n\n\n
                            4. In order to send the Newsletter on the basis of voluntary consent (Art. 6(1)(a) GDPR);<\/li>\n\n\n\n
                            5. In order to pursue Brain Embassy\u2019s legitimate interests Art. 6(1)(a) GDPR):\n
                                \n
                              1. ensuring the proper functioning of the Website;<\/li>\n\n\n\n
                              2. ensuring the appropriate level of provided Services;<\/li>\n\n\n\n
                              3. responding to Users’ requests sent via the Platform;<\/li>\n\n\n\n
                              4. verification of Users;<\/li>\n\n\n\n
                              5. processing and responding to requests and complaints;<\/li>\n\n\n\n
                              6. ensuring the security of the Website;<\/li>\n\n\n\n
                              7. marketing Brain Embassy products.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                              8. Brain Embassy also processes personal data of Guests (name, surname, contact details) for the purpose of their verification when entering the Spaces (Art. 6(1)(f) GDPR).\u00a0<\/li>\n\n\n\n
                              9. Provision of data is voluntary, but necessary for the aforementioned processing purposes.<\/li>\n\n\n\n
                              10. The User may exercise the following rights against BE:\n
                                  \n
                                1. the right to request access to his\/her personal data and to obtain information about the processing of his\/her personal data, and if it is incorrect, the User have the right to request its rectification (pursuant to Art. 15 and 16 of the GDPR);\u202f\u00a0<\/li>\n\n\n\n
                                2. the right to withdraw consent at any time; withdrawal of consent does not affect the lawfulness of the processing we have carried out on the basis of consent until it is withdrawn;<\/li>\n\n\n\n
                                3. the right to request the restriction of the processing of his\/her data in the situations and under the conditions indicated in Art. 18 GDPR;\u202f\u00a0<\/li>\n\n\n\n
                                4. the right to request erasure in accordance with Art. 17 of the GDPR (\u201cright to be forgotten\u201d);\u202f\u00a0<\/li>\n\n\n\n
                                5. the right to data portability in accordance with Art. 20 of the GDPR;<\/li>\n\n\n\n
                                6. the right to object at any time to the processing of his\/her personal data on grounds relating to his\/her particular situation, where the data are processed by BE in pursuit of its legitimate interests (pursuant to Art. 21(1) GDPR).<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                7. Personal data are processed for the period necessary for the purposes for which they are processed. In a situation where the processing of personal data will be necessary for evidentiary purposes in case of possible claims, such data may be retained until the statute of limitations for such claims or the final conclusion of the proceedings in the case.<\/li>\n\n\n\n
                                8. Users’ personal data may be disclosed to authorized entities assisting BE in carrying out the purposes indicated. Whenever data is shared, BE will ensure that only the minimum necessary information is shared. In the course of processing personal data, there may be transfers to a third country as defined by the GDPR, in particular to Israel.<\/li>\n\n\n\n
                                9. More information about Brain Embassy’s processing of personal data can be found in the Privacy Policy<\/a><\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                10. Complaints<\/strong>\n
                                    \n
                                  1. Complaints regarding the incorrect functioning and access to the Website, as well as regarding the Services, may be filed by the User in particular:\n
                                      \n
                                    1. through a contact form available in Help Center on the Portal (for complaints regarding the Portal);<\/li>\n\n\n\n
                                    2. in writing to the address of Brain Embassy;<\/li>\n\n\n\n
                                    3. by e-mail to the address: be@brainembassy.com<\/a><\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                    4. The methods of filing a claim set forth in the preceding paragraph are in the form of a\u00a0recommendation only and shall not affect the effectiveness of claims filed in disregard of the recommended method.\u00a0<\/li>\n\n\n\n
                                    5. The complaint should include contact information, a description of the facts and the request. The User may be asked to provide additional circumstances or documents if necessary to investigate the complaint.<\/li>\n\n\n\n
                                    6. Brain Embassy will investigate the complaint within 14 days of receipt of a properly submitted complaint.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                    7. Liability<\/strong>\n
                                        \n
                                      1. Brain Embassy will use reasonable means to ensure the proper operation of the Website, Portal and the proper performance of the Services, as well as to protect Users’ data in accordance with these Terms and Conditions.<\/li>\n\n\n\n
                                      2. Brain Embassy shall be liable for failure to perform or improper performance of the Services in accordance with applicable law.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                      3. Conditions for the conclusion and termination of contracts for the provision of electronic services<\/strong>\n
                                          \n
                                        1. The agreement for the provision of electronic services through the Site is concluded between Brain Embassy and the User when the User first logs into the Portal through the Account or at the time of using another Service.<\/li>\n\n\n\n
                                        2. The User may withdraw from the agreement for the provision of electronic services (in the form of access to the Portal) without giving reasons, by submitting an appropriate statement in writing to the Brain Embassy\u2019s address or electronically to be@brainembassy.com<\/a> within 14 (fourteen) days from the date of first logging into the Portal through the Account. The User has no right of withdrawal with regard to agreements for the provision of other Services, if Brain Embassy performed the Service in full with the express consent of the User, who was informed that after BE’s performance, he would lose his right to withdraw from the contract.<\/li>\n\n\n\n
                                        3. After the expiration of the period indicated in the preceding paragraph, the User may terminate the agreement for the provision of electronic services, without indicating a reason, by:\n
                                            \n
                                          1. the Help Center available on the Portal;<\/li>\n\n\n\n
                                          2. sending an appropriate statement to the Brain Embassy\u2019s address;<\/li>\n\n\n\n
                                          3. electronically at be@brainembassy.com<\/a> .<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                          4. Termination of the agreement means termination of the possibility to use the Portal. In the statement of termination, the data enabling identification of the User and the Account should be indicated.<\/li>\n\n\n\n
                                          5. Brain Embassy may terminate the agreement for the provision of electronic services with 14 days\u2019 notice by sending the User a relevant statement by e-mail or to the User’s postal address assigned to the Account.\u00a0\u00a0\u00a0\u00a0<\/li>\n\n\n\n
                                          6. Termination of the agreement for the provision of electronic services shall result in the removal of the Account and in the User being prevented from accessing the Portal. Removal of the Account does not affect the User’s rights to file a complaint.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                          7. Copyrights<\/strong>\n
                                              \n
                                            1. Intellectual property rights, including in particular copyrights to the Website as a whole and its individual elements, including content, graphics, works, designs and signs available within it, belong to Brain Embassy or other authorized third parties and are protected by generally applicable law. The protection granted to the Website covers all forms of its expression, regardless of the device from which it is accessed.<\/li>\n\n\n\n
                                            2. The User is entitled to use the functionalities of the Websites, but only for personal use and to the extent necessary to use the Services and other functionalities of the Portal. Use for any other purpose requires the prior and written consent of BE.<\/li>\n\n\n\n
                                            3. The User is not entitled to use Brain Embassy’s trademarks without the prior and written consent of BE.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                            4. Out-of-court procedures for dealing with complaints and for asserting claims, as well as the rules of access to these procedures<\/strong>\n
                                                \n
                                              1. Detailed information on the User’s ability to use out-of-court procedures for handling complaints regarding the malfunctioning of the Service and access to the Website, as well as the rules of access to these procedures are available at the offices, and on the websites of district (city) consumer advocate, social organizations whose statutory tasks include consumer protection, Provincial Inspectorates of Trade Inspection, and at the following Internet addresses of the Office of Competition and Consumer Protection, and https:\/\/uokik.gov.pl\/pomoc-dla-konsumentow<\/a>.<\/li>\n\n\n\n
                                              2. The User may obtain free assistance in resolving a dispute, also using the free assistance of district (city) consumer advocate or a social organization whose statutory tasks include consumer protection (e.g. Federation of Consumers, Polish Consumer Association).<\/li>\n\n\n\n
                                              3. The ODR platform for online dispute resolution between consumers and traders at EU level (ODR platform) is available at http:\/\/ec.europa.eu\/consumers\/odr<\/a>. The ODR platform is an interactive and multilingual website with a one-stop-shop for consumers and businesses seeking out-of-court dispute resolution on contractual obligations arising from a contract for the provision of electronic services.<\/li>\n<\/ol>\n<\/li>\n\n\n\n
                                              4. Final provisions<\/strong>\n
                                                  \n
                                                1. Brain Embassy reserves the right to change these Terms and Conditions at any time. Amendments shall come into force on the date specified in the announcement, not earlier than 7 days after their announcement.<\/li>\n\n\n\n
                                                2.
